These Terms and Conditions ("Terms") are an agreement between you and XPLR, LLC ("XPLR," "XPLR GUIDE," "we," "us," or "our") governing your use of the XPLR GUIDE mobile application, the XPLR GUIDE website (https://xplrguide.com), and related services that link to these Terms, collectively referred to as the "Services."
By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Service
XPLR GUIDE is a curated guide to places, lists, and itineraries, beginning in Tennessee. Every place in the guide has been visited in person by a member of the XPLR team and vetted against our standard before it was included. Our recommendations are the considered opinions of our team, offered to help you plan and enjoy real experiences.
Information in the Services, such as business hours, addresses, prices, menus, and availability, is provided for planning convenience. Businesses change their hours, offerings, and operations, sometimes without notice. We work to keep information accurate and we correct verified errors, but we cannot guarantee that every detail is current at the moment you rely on it. Confirm time-sensitive details with the business before you travel.
A place's inclusion in XPLR GUIDE means it met our standard at the time it was vetted and, where applicable, at later rechecks. Inclusion is not a guarantee of your experience, and XPLR is not responsible for the goods, services, safety, or conduct of any listed business.
2. Accounts
Using the XPLR GUIDE application requires an account. Creating an account is free.
You agree to provide accurate information when you create your account, to keep your login credentials confidential, and to be responsible for activity that occurs under your account. You must notify us at support@xplrguide.com if you believe your account has been accessed without your authorization.
You may delete your account at any time from within the application, or by contacting us as described in our Privacy Policy. Deletion removes your saved places, lists, itineraries, and private notes, subject to the retention described in the Privacy Policy.
3. Eligibility
You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement and consent of a parent or legal guardian. By using the Services, you represent that you meet these requirements and that the information you provide is accurate.
4. Places Are Free; Paid Features
Viewing places in XPLR GUIDE is free, and always will be: no place is hidden behind a paywall, and no business can pay to be included, excluded, ranked, or recommended.
As the platform grows, we may offer paid features built on top of the places, such as premium itineraries, premium lists, perks, planning tools, and exclusive content such as behind-the-scenes material and documentaries. Paid features never change the verdict on a place, and the information every user needs to judge a place (its listing, basic photos and video, and our recommendation) remains free for everyone.
5. Purchases, Subscriptions, and Perks
Paid features, when offered, are purchased through the Apple App Store, Google Play, or another payment processor we designate, and are subject to that store's or processor's terms as well as these Terms. We do not receive or store your full payment card number.
If a paid feature is offered on a subscription basis, it will renew automatically through your store account until you cancel it in your store account settings, and the renewal price and period will be disclosed before purchase. Refunds are handled according to the applicable store's refund policies.
Perks, when offered, are provided by participating businesses and are subject to the terms stated with each perk, including any expiration dates or limits. A perk has no cash value unless the perk's terms say otherwise. XPLR may report perk redemptions to the participating business in aggregate counts only, as described in our Privacy Policy. Your identity is never reported.
6. Sponsored Content
The Services may contain sponsored placements. Sponsored placements are always labeled "Sponsored" when they appear, including when a sponsor's content appears inside an itinerary video or photo gallery, and a sponsored position is never presented as a ranking or a recommendation.
Payment never buys inclusion in the guide, a verdict, a position in search results or rankings, or a place in editorial lists and itineraries. Sponsors and partners have no control over our recommendations, and a business must have passed our vetting on its own merits before it may appear as a sponsor.
7. Promotions, Giveaways, and Events
Promotions and giveaway campaigns are governed by the official rules published for that promotion, which state the prize, the terms, the dates, and who receives entrant information. If there is a conflict between these Terms and a promotion's official rules, the official rules govern for that promotion. Entering a promotion never requires consent to marketing communications.
Events and experiences offered through the Services, when offered, may be operated with partners who handle logistics, ticketing, or venues. Event terms, including capacity limits and the full price, will be stated when tickets or reservations are offered.
8. Our Content; Your Saves, Notes, and Collections
Everything in the guide is XPLR content. Every place was vetted in person by our team, and everything published about it was researched, written, and filmed by us. You cannot add a place to the guide, and you cannot post reviews, comments, ratings, or photos to the Services. No place gets in because a user submitted it; the only door into the guide is our vetting, and users never vet places.
What the Services hold for you is personal: the places you save, the lists and itineraries of ours that you follow or save, and private notes you keep on places. Those are yours. We store them so the app can show them back to you, and we use them only to operate and improve the Services. Your notes are visible only to you: never published, and never shared with a business or partner.
As planning tools arrive in a later phase, you will be able to build your own lists and itineraries by arranging places that are already in the guide, and to share those collections with friends. A list or itinerary you build is your arrangement of our content: every place in it is a place XPLR vetted, and sharing a collection with a friend does not publish it into the guide or change anything in the guide. If we later allow users to submit itineraries for others to browse, the same rule holds: an itinerary can only ever be built from places XPLR vetted. Arranging our content is welcome; adding to it is not something users can do.
If you send us ideas, suggestions, or feedback directly, we may use them without obligation or compensation.
9. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose, or in violation of these Terms
- Copy, scrape, harvest, or systematically extract place listings, content, or data from the Services, except through features we provide or with our written permission
- Use any aggregated or de-identified information obtained from XPLR in an attempt to identify any individual user
- Access the Services through automated means, other than standard search engine indexing or tools we authorize
- Interfere with the security, integrity, or operation of the Services
- Impersonate any person or business, or misrepresent your affiliation
- Attempt to gain unauthorized access to accounts, systems, or data
- Use the Services to send spam or unsolicited marketing
10. XPLR Intellectual Property
The Services, including all content, text, photography, video, design, software, and the XPLR GUIDE, XPLR.NASH, and XPLR SERIES names and marks, are owned by XPLR or its licensors and are protected by intellectual property laws. These Terms do not give you any right to use our names, logos, or content except as needed to use the Services as intended. You may not copy, reproduce, distribute, or create derivative works from our content without our written permission, except for sharing features built into the Services.
If you believe content in the Services infringes your copyright, contact us at support@xplrguide.com with a description of the work, where it appears, and your contact information, and we will review and respond as required by law.
11. Third-Party Services and Links
The Services link to and integrate with third-party services, including maps, app stores, social platforms, ticket and reservation providers, and business websites. Those services are governed by their own terms and privacy policies. XPLR is not responsible for third-party content, services, or practices, and a link or integration is not an endorsement beyond our vetting of listed places themselves.
12. Privacy
Our Privacy Policy (https://xplrguide.com/privacy) describes how we collect, use, and share information, and is part of these Terms by reference. The short version that binds us: we never sell your personal information, and information shared with businesses and partners is shared only as aggregated counts and patterns, never as individuals.
13. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, XPLR disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or secure; that any place will be open, available, or as described when you visit; or that recommendations will suit your tastes. Visiting places, traveling, and attending events involve ordinary risks that are yours to judge and manage. Always exercise reasonable care and confirm details that matter to your trip.
14. Limitation of Liability
To the fullest extent permitted by law, XPLR and its owners, team members, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Services or your visits to places and events found through them.
To the fullest extent permitted by law, XPLR's total liability for any claim arising from the Services will not exceed the greater of (a) the amounts you paid to XPLR for the Services in the twelve months before the claim arose, or (b) fifty U.S. dollars ($50).
Nothing in these Terms limits liability that cannot be limited under applicable law.
15. Indemnification
You agree to indemnify and hold harmless XPLR and its owners, team members, and partners from claims, damages, losses, and reasonable legal costs arising from your use of the Services or your violation of these Terms or of any law or third-party right.
16. Suspension and Termination
We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, misused the Services, or created a legal or security risk. Provisions that by their nature should survive termination, including intellectual property, disclaimers, liability limits, and indemnification, will survive.
You may stop using the Services at any time and may delete your account as described in Section 2.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. If a dispute arises, please contact us first at support@xplrguide.com so we can try to resolve it informally and quickly. If we cannot resolve it, disputes will be brought exclusively in the state or federal courts located in Tennessee, and you consent to personal jurisdiction there, unless applicable law gives you the right to bring a claim elsewhere.
18. Changes to These Terms
We may update these Terms as the Services evolve. When we do, we will update the "Last Updated" date above. If a change is material, we may provide additional notice through the app, the website, or email. Your continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms, subject to applicable law.
19. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy and any promotion rules that apply to you, are the entire agreement between you and XPLR regarding the Services. You may not assign these Terms; we may assign them in connection with a business transaction as described in the Privacy Policy.
